These Terms of Service (“Terms”) are a legally binding agreement between you and Chercharge, Inc. (“Chercharge,” “we,” “our,” or “us”) governing your access to and use of the Chercharge mobile application and EV charging concierge services (collectively, the “Services”).
By creating an account, accessing the app, purchasing Founding Access or other offerings, or requesting Chercharge services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. The Chercharge service
Chercharge is an electric vehicle charging concierge service. Through the app, eligible customers may manage an account, add eligible vehicles, review available services, request or schedule eligible bookings, receive service updates, and manage qualifying promotional benefits.
When service is available for an eligible booking, Chercharge may coordinate vehicle pickup, transportation to a charging location, charging coordination, and return of the vehicle to an approved location. Chercharge is not an emergency response service, towing company, electric utility, vehicle manufacturer, automobile repair provider, or insurance company.
Chercharge may operate in a pre-launch phase in some or all service areas. Purchasing Founding Access or other pre-launch offerings does not guarantee immediate service, a specific launch date, a specific appointment time, or service in every geographic area.
2. Account requirements
To use core Chercharge functionality, you must:
- Create and maintain a Chercharge account
- Provide accurate account information and keep it updated
- Safeguard your login credentials
- Be the authorized user of the account and any payment method you use
You are responsible for activity that occurs under your account. Notify Chercharge promptly at chercharging@gmail.com if you suspect unauthorized access.
3. Customer eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to create a Chercharge service account and request services. You must have lawful authority to authorize pickup, transport, charging coordination, and return of any vehicle you submit for service.
4. Vehicle eligibility
Chercharge services are limited to eligible electric vehicles that meet Chercharge’s operational, safety, documentation, and service-area requirements. Chercharge may decline or cancel service for a vehicle that is ineligible, unsafe, improperly documented, inaccessible, or otherwise unsuitable for concierge handling.
Vehicle eligibility may depend on make, model, condition, insurance status, registration, charging compatibility, location, and other factors disclosed in the app or during booking.
5. Booking services
A booking request is an offer to purchase eligible Chercharge service under the details shown at checkout. Chercharge may accept, decline, reschedule, or cancel a booking based on driver availability, vehicle eligibility, safety requirements, charging availability, operating capacity, weather, or other operational constraints.
Chercharge does not guarantee that every service request will be accepted.
6. Vehicle pickup
When a booking is accepted, Chercharge will coordinate pickup at the approved location and time window communicated in the app or by Support. You must ensure the vehicle is available, accessible, and ready for handoff at the scheduled pickup. Failure to provide timely access may result in delay, cancellation, or additional charges where disclosed.
7. Vehicle custody
After pickup, the vehicle is in Chercharge’s temporary custody for the purpose of performing the booked concierge service. Custody ends when the vehicle is returned to the approved return location and the return is completed according to the booking. Chercharge may document vehicle condition with photographs at pickup and return.
8. Transportation to charging locations
Chercharge may transport your vehicle to a third-party charging location selected for the booking. Routes, timing, and charging locations may vary based on availability, traffic, safety, and operational judgment. Chercharge is not responsible for conditions at third-party charging facilities beyond Chercharge’s reasonable control.
9. Charging services
Chercharge coordinates charging of eligible vehicles as part of accepted bookings. Charging results may vary based on the vehicle, battery condition, charging limits, battery temperature, manufacturer software, charging equipment, network availability, and other conditions.
Unless a specific charge level is expressly confirmed in writing for a particular booking, Chercharge does not promise that every vehicle will be charged to a specific percentage, including 100%.
10. Vehicle return
Chercharge will return the vehicle to the approved return location associated with the booking, subject to access, safety, and operational constraints. You must ensure the return location is available and that any access instructions remain accurate. If return cannot be completed as planned, Chercharge will attempt to contact you using the account contact information on file.
11. Customer responsibilities
You agree to:
- Provide accurate vehicle information
- Maintain required insurance for the vehicle
- Provide lawful vehicle access for pickup and return
- Remove or secure personal belongings as appropriate before pickup
- Ensure the vehicle is in a condition suitable for safe transport and charging
- Respond promptly to Chercharge communications during an active booking
- Comply with these Terms and applicable law
12. Accurate vehicle information
You represent that vehicle details you provide—including make, model, year, plate information, insurance information, and any identification details—are accurate and complete. Inaccurate information may delay, prevent, or invalidate service and may result in cancellation.
13. Insurance requirements
You must maintain valid automobile insurance covering the vehicle submitted for service, as required by applicable law and Chercharge’s service requirements. You may be asked to provide insurance documentation before or during service. Chercharge is not an insurance company and does not provide insurance coverage to customers through these Terms.
14. Vehicle access requirements
You must provide Chercharge with lawful means to access, operate as needed for the service, transport, and return the vehicle. This may include keys, fobs, app-based access permissions, gate codes, parking instructions, or other access methods disclosed during booking. You are responsible for ensuring access methods remain valid during the service window.
15. Personal belongings
Remove valuables and important personal belongings before pickup when practicable. Chercharge is not responsible for personal belongings left in a vehicle except to the extent required by applicable law or caused by Chercharge’s gross negligence or willful misconduct.
16. Charging availability and station delays
Charging stations and networks are operated by third parties. Availability, wait times, equipment performance, network outages, and station conditions are outside Chercharge’s full control. Delays at charging locations may extend estimated service times.
17. Estimated service times
Any pickup, charging, or return times shown in the app are estimates. Actual timing may change due to traffic, weather, charging availability, vehicle condition, safety stops, or other operational factors. Estimates are not guarantees unless expressly confirmed in writing for a specific booking.
18. Cancellations
You may cancel a booking according to the cancellation options and timing rules presented in the app or communicated by Support. Chercharge may cancel a booking when required for safety, eligibility, access failure, payment failure, capacity limits, or other legitimate operational reasons. Applicable refund or fee treatment will follow the disclosures provided at booking and any applicable Founding or promotional agreement.
19. Payments
Prices and mandatory charges are presented before you complete a transaction. Payments for eligible services and qualifying promotional purchases are processed through authorized third-party payment processors. By submitting a payment, you authorize charges for the selected offering and any disclosed fees.
You are responsible for providing a valid payment method and for all charges incurred under your account.
20. Refunds
Refund eligibility depends on the type of purchase, the timing of cancellation or service failure, and any specific promotional terms that apply. Founding Access and other pre-launch promotional purchases are governed by the applicable Founding Customer Agreement and related checkout disclosures in addition to these Terms. 21. Memberships and promotional offerings
Chercharge may offer memberships, Founding Access, credits, or other promotional rates where available. Membership and promotional benefits are subject to eligibility limits, vehicle restrictions, geographic limits, duration limits, and other terms disclosed at purchase. Unless expressly stated otherwise, promotional rates are per eligible service and are not unlimited service for a single payment.
22. Prohibited uses
You may not:
- Use the Services for unlawful, fraudulent, or abusive purposes
- Submit a vehicle you are not authorized to place in Chercharge’s custody
- Provide false insurance, registration, identity, or vehicle information
- Interfere with drivers, charging equipment, or other customers
- Attempt to reverse engineer, disrupt, or misuse the app or related systems
- Use the Services in a way that creates unreasonable safety risk
23. Safety
Safety of customers, drivers, vehicles, and the public is essential. Chercharge may refuse, pause, or end service when continuing would be unsafe. You agree to follow reasonable safety instructions related to pickup, return, and vehicle readiness.
24. Vehicle incidents and damage reporting
If a vehicle incident, damage, or safety concern arises in connection with a Chercharge service, report it promptly through the app where available or by emailing chercharging@gmail.com. Include your account email, booking reference if available, vehicle description, and a clear description of the issue. Chercharge may document condition with photographs and investigate reported incidents.
Customers with an active service involving a vehicle currently in Chercharge’s custody should contact Chercharge Support promptly.
25. Service interruptions
The Services may be interrupted, delayed, or unavailable due to maintenance, network issues, third-party outages, weather, emergencies, capacity limits, or other events beyond Chercharge’s reasonable control. Chercharge is not liable for delays or failures caused by such events, except to the extent required by applicable law.
26. Third-party charging locations
Charging may occur at third-party stations or networks. Those locations are not owned or controlled by Chercharge. Their rules, availability, pricing to Chercharge or partners, and equipment performance may affect service timing and results.
27. Third-party payment processors
Payment card processing is handled by third-party payment processors. Your payment information is subject to the processor’s terms and privacy practices in addition to these Terms and the Chercharge Privacy Policy.
28. Limitation of liability
To the maximum extent permitted by applicable law, Chercharge and its officers, directors, employees, agents, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities, arising out of or related to the Services or these Terms.
To the maximum extent permitted by applicable law, Chercharge’s total liability for any claim arising out of or related to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Chercharge for the specific booking or purchase giving rise to the claim during the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the above limitations apply only to the fullest extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
29. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Chercharge and its officers, directors, employees, agents, and contractors from and against claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Services; (c) your failure to provide accurate vehicle, insurance, or access information; or (d) your violation of applicable law or third-party rights, except to the extent caused by Chercharge’s gross negligence or willful misconduct.
30. Account suspension and termination
Chercharge may suspend or terminate your account or access to the Services if you violate these Terms, create safety or fraud risk, fail to pay amounts due, or misuse the Services. You may stop using the Services and request account deletion through the app where available or by contacting Support. Provisions that by their nature should survive termination will survive, including payment obligations, liability limitations, indemnity, and ownership provisions.
31. Changes to the service
Chercharge may modify, suspend, or discontinue features of the Services, expand or limit service areas, or change operational processes as the business evolves, including during pre-launch. Material changes that affect paid bookings already accepted will be handled in accordance with the applicable booking terms and applicable law.
32. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date above and, where appropriate, provide notice in the app or by email. Continued use of the Services after the updated Terms become effective constitutes acceptance of the changes, except where applicable law requires a different process.
